Terms of Use

These terms govern use of Prospect. Activated sales reps must also accept the Independent Contractor Agreement in-app.

1. Agreement

By creating an account or using Prospect, you agree to these Terms and the Privacy Policy. Sales representatives must also accept the Independent Contractor Agreement before using the dashboard after activation.

2. Role

Unless a separate employment agreement says otherwise, sales users are independent contractors—not employees. You control how and when you prospect, subject to platform rules and law. You are responsible for your own taxes and business expenses except where expressly stated otherwise.

3. Account & access

Accounts may require an invite and admin activation. Sales representatives must submit at least one deal every 90 days to keep an active account; accounts that miss this activity requirement may be set inactive and lose platform access until an admin reactivates them. We may also suspend or terminate access for policy violations, fraud risk, misuse of the platform for personal gain unrelated to Vector Upgrade sales, or other operational reasons.

4. Acceptable use

No harassment, misrepresentation of Vector Upgrade offerings, spam, scraping that violates third-party terms, unauthorized access, or uploading unlawful content. Follow truthful marketing practices. The platform, lead data, and tools may be used only to sell Vector Upgrade offerings—not for competing personal freelancing or unrelated commercial gain.

5. Commissions & payouts

Commission rates and eligibility are set by the agency and may change with notice. Project commissions unlock per the then-current schedule (typically in halves tied to client deposit and completion payments). Retainer share is a percentage of monthly retainer amounts the client actually pays and is not owed for months the client does not pay. If a salesperson has no qualifying deal activity for more than three (3) months, the platform automatically pauses that salesperson’s retainer commission share going forward while client retainers may continue; share resumes automatically when the salesperson submits a new deal or a client deposit is recorded, and Company may also pause or resume share manually. Payouts require a completed contractor agreement, valid payout method, and approved commissions. Chargebacks, cancellations, or fraud may reverse unpaid or claw back commissions per agency policy.

6. Confidentiality & IP

Platform tools, lead lists generated in-app, pricing, playbooks, and client information are confidential. You may not copy or resell platform data for competing uses after offboarding except as allowed in writing.

7. Disclaimers

The platform is provided "as is." Earnings examples on recruiting pages are illustrative, not guarantees. We do not warrant uninterrupted uptime or that every lead will convert.

8. Limitation of liability

To the fullest extent permitted by law, total liability arising from the platform is limited to the commissions actually paid to you in the 3 months before the claim. No liability for indirect or consequential damages.

9. Governing law

Governed by the laws of the State of New York. Venue in New York County, New York, unless a signed contractor agreement says otherwise.
